Terms of Service

1. Parties
These Terms govern your use of Kaho (the macOS desktop application) and the related services at wovero.com and api.wovero.com (together, the "Service"), provided by Wovero GmbH, Badestube 6, 36251 Bad Hersfeld, Germany, registered with the Amtsgericht Bad Hersfeld under HRB 3405 (see Imprint) ("we", "us"). By using the Service you ("you", "the customer") agree to these Terms.
2. Account & eligibility
You must be 18 or older to use Kaho's paid plans. You are responsible for keeping your account credentials confidential and for all activity under your account. Authentication is handled by a third-party identity provider; the named sub-processor is disclosed in our Privacy Policy §4.
3. Plans & pricing
Kaho offers a free tier limited to 1,000 dictated words per calendar month, and one or more paid Pro plans. Current prices are listed at /kaho/pricing.html. Prices include any applicable VAT for EU customers. We reserve the right to change pricing for new sign-ups; existing subscribers will receive at least 30 days' notice before any price increase applies to them.
4. Subscription & auto-renewal
Pro plans are billed monthly or annually in advance through a third-party payment processor (named in our Privacy Policy). Your subscription auto-renews at the end of each billing period unless you cancel before that period ends. You can cancel any time from the hosted billing portal linked in the desktop app's Settings → Account tab; cancellation takes effect at the end of the current paid period.
5. Right of withdrawal (EU consumers)
If you are a consumer resident in the EU, you have a 14-day right of withdrawal under Art. 246a §1(2)(1) EGBGB. You waive this right by starting to use a paid feature within those 14 days, in line with § 356 (5) BGB. To exercise the right of withdrawal before that, write to support@wovero.com.
6. Acceptable use
You agree not to use the Service to:
- Transcribe content for which you don't have the legal right to capture audio (e.g. recording other people without consent)
- Generate or reshape illegal, defamatory, or hateful content
- Reverse-engineer, scrape, or attempt to extract our prompts, model outputs at scale, or proprietary code
- Resell access to Kaho or expose its API to third parties without a written agreement
7. Service availability
We aim for high availability but do not guarantee uninterrupted Service. Maintenance windows, outages affecting our infrastructure or sub-processors (named in our Privacy Policy), or force majeure may cause downtime. Pro plan customers experiencing extended outages may request prorated credits at support@wovero.com.
8. Liability
The Service is provided "as is". To the fullest extent permitted by German law, our aggregate liability for any claim arising from the Service is limited to the fees you paid us in the 12 months preceding the claim. Liability for damages caused by gross negligence or wilful misconduct, and statutory liability under the German Product Liability Act (Produkthaftungsgesetz), is unaffected.
9. Termination
You may terminate your subscription at any time as described in §4. We may terminate or suspend your account if you materially breach these Terms (e.g. §6) or fail to pay; we will give you written notice and a reasonable cure period unless the breach is irremediable.
10. Updates & auto-update
The desktop app includes an auto-updater that downloads, verifies and installs new versions in the background. Updates may add, change, or remove features. By installing Kaho you consent to receiving these updates.
11. Privacy & data
How we process your data is described in our Privacy Policy, which forms part of these Terms. For B2B/enterprise customers, a Data Processing Agreement (Auftragsverarbeitungsvertrag) is available on request from privacy@wovero.com.
12. Governing law & jurisdiction
These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for disputes with merchants is Bad Hersfeld. For consumer disputes, the statutory rules apply.
13. Changes to these Terms
We may update these Terms to reflect new features, legal requirements, or pricing changes. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
